TERMS AND CONDITIONS OF B2B COOPERATION – QUESTSPORT SP. Z O.O.
(Model: White Label, Private Label & Custom Production)
§1. General Provisions
  1. These terms and conditions define the rules for the provision of production and wholesale services by QUESTSPORT SP. Z O.O. (hereinafter: "Producer") to business entities (hereinafter: "Client").
  2. Cooperation takes place exclusively in a B2B relationship. The Client declares that the concluded contracts are of a professional nature for them, which excludes the application of consumer protection regulations and the so-called privileged entrepreneur provisions.
  3. Access to the B2B Zone on the website questsport.cc is granted after verification of company data. The Producer reserves the right to refuse cooperation without providing a reason.
§2. Cooperation Models (White Label, Private Label, Custom)
  1. White Label: Sale of ready-made base models with the "Quest" branding removed. The Client assumes full responsibility for labeling the goods in accordance with the regulations of the country of introduction to the market.
  2. Private Label: Production of clothing according to the Producer's designs, but with the Client's branding (labels, prints, tags).
  3. Full Custom: Production of clothing according to individual specifications, cuts, and designs provided by the Client or developed jointly.
§3. Design Process and Acceptance (Prototyping)
  1. For Custom/Private Label orders, serial production is preceded by the acceptance of the Technical Specification or Prototype.
  2. The Client's acceptance of the design (via email or in writing) is binding. The Producer is not responsible for design errors, typos in logos, or improper selection of Pantone/CMYK colors that have been accepted in the project.
  3. The Producer reserves the right to dimensional tolerances of +/- 2 cm for each dimension in the size chart and minimal differences in fabric shades resulting from different production batches of the raw material.
§4. Order Fulfillment and Deadlines
  1. The standard fulfillment period is 7-8 weeks, counted from the moment all three conditions are met:
    a) payment of the agreed advance/prepayment,
    b) final approval of designs/prototypes,
    c) delivery of all necessary materials from the Client (e.g., logos in vector format).
  2. Deadlines are approximate. The Producer reserves the right to postpone the deadline by 14 business days without legal consequences in case of production overload or delays from raw material suppliers.
§5. Payments and Ownership of Goods
  1. Prices in the B2B Zone are net prices.
  2. A 100% prepayment or an advance payment (usually 50%) is typically required before production begins, unless otherwise agreed by the parties (e.g., credit limit).
  3. The goods remain the property of the Producer until full payment of the price.
§6. Complaints and Exclusion of Warranty
  1. Pursuant to Article 558 § 1 of the Civil Code, liability under the warranty is entirely excluded.
  2. The Client is obliged to inspect the goods for quantity and obvious quality defects within 3 business days of receiving the shipment. Complaints submitted after this deadline will not be considered.
  3. Damage resulting from improper use, washing inconsistent with instructions, or natural wear and tear of sportswear is not subject to complaint.
§7. Intellectual Property
  1. The construction models (patterns) of Quest sportswear constitute the intellectual property of the Producer. Their use in the White/Private Label model does not transfer proprietary copyrights to the construction to the Client.
  2. The Client declares that they possess all rights to the trademarks and graphics submitted for printing and indemnifies the Producer from any liability arising from claims by third parties.
§8. Confidentiality
  1. All pricing arrangements, discounts, technical designs, and commercial terms visible in the B2B Zone constitute trade secrets and may not be disclosed to third parties under penalty of contractual fines.
